This document, "Terms and Conditions," is Attachment 4 to Solicitation 70Z03826QK0000005. It outlines the contract terms and conditions applicable to the acquisition of commercial items. These terms supersede all other terms and conditions and acceptance of an order signifies acceptance of these terms.

• Submission of Offers: Offers must be submitted by the exact time specified in the solicitation and include the solicitation number, offeror's name/address/phone, Unique Entity Identifier (UEI), EFT indicator, information for evaluation factors, required representations/certifications, and a statement of agreement with all terms and conditions.

• Period for Acceptance: Offerors agree to hold prices firm for 60 calendar days from the receipt date of offers, unless otherwise specified.

• Late Submissions: Late offers will generally not be considered unless received before award and acceptance does not unduly delay acquisition. Late modifications that are more favorable to the Government may be considered.

• Contract Award: The Government intends to evaluate offers and award without discussions, but reserves the right to conduct discussions if necessary. The Government may reject any or all offers.

• Debriefings: Information that may be disclosed during a post-award debriefing is outlined, including agency evaluation of weak factors, overall evaluated cost/price and technical ratings, ranking of offerors, rationale for award, and make/model of products.

• Evaluation: The provision at FAR 52.212-2 (Evaluation-Commercial Products and Commercial Services) is NOT applicable. This solicitation is expected to be awarded on a sole source basis to Testek LLC (CAGE Code 06659) based on their ability to meet requirements, fair and reasonable pricing, and responsibility determination.

• Provisions: Includes FAR clauses such as 52.212-1 (Instructions to Offerors), 52.212-2 (Evaluation), and 52.240-90 (Security Prohibitions and Exclusions Representations and Certifications).

• Security Prohibitions: Detailed definitions and procedures related to covered telecommunications equipment/services, FASCSA orders, Sudan and Iran prohibitions, and American Security Drone Act-covered foreign entities are included. Offerors must conduct reasonable inquiries and disclose any non-compliance.

• Incorporated Clauses: Numerous FAR clauses are incorporated by reference, covering areas like ethics, certifications, small business subcontracting, labor standards, and trade agreements.

• Sole Source: The solicitation is expected to be awarded on a sole source basis to Testek LLC.

• This document is part of a larger solicitation (70Z03826QK0000005).

• Several FAR clauses are incorporated by reference and may require offeror completion or submission.

Statement of Work (SOW)

To upgrade the obsolete analog I/O of an Aircraft Electrical Component Test Stand (AECTS) (Model Number: 101990-P31, Serial Number 101990-P31-001) to a non-obsolete analog I/O communication system, restoring it to full operational status for testing Auxiliary Power Units (APUs) and Generators for MH65, MH60, and HC144 USCG aircraft.

• The Original Equipment Manufacturer (OEM) shall perform and implement an upgrade solution using a new analog I/O card.

• This includes on-site installation, debugging, and engineer/software development.

• The upgrade requires confidence runs and calibration of the AECTS.

• The OEM must furnish all materials, parts, tools, and labor.

• The work will be performed at the USCG Aviation Logistics Center (ALC) facility in Elizabeth City, NC.

• The OEM will also perform a confidence run after calibration on specific Ready for Issue (RFI) generators listed in the SOW.

• A written certificate of calibration must be provided within 30 days of the visit.

• The AECTS must be returned to a fully operational status meeting OEM operating requirements.

• Calibration must be performed according to OEM specifications.

• An OEM calibration/certification sticker must be placed on the equipment upon successful calibration.

• The OEM technician(s) shall have up to five (5) workdays on-site.

• Work hours are typically 7:00 a.m. to 3:30 p.m. ET, Monday through Friday, but may extend to other hours, weekends, or holidays as required by the USCG.

• Place of Performance: Aviation Logistics Center, 1664 Weeksville Road, Elizabeth City, NC 27909.

• OEM technicians must be certified and capable.

• The OEM is responsible for all travel costs, including lodging and transportation.

• The OEM must provide a quality system and adhere to all federal, state, and local laws, including OSHA standards.

• OEM personnel must comply with USCG policies, including tobacco policy and safety regulations.

• The OEM must provide a single Point of Contact (POC) for all work performed.

• OEM employees must present a professional appearance and be clearly identified.

• The upgrade is considered unproven, and if it does not provide the required outcome, the visit will be at no cost to the USCG.

• F.O.B. Destination.
