  • Defining applicability to contracts for supplies/services requiring a license.
  • Clarifying that the agreement binds the ordering activity as the end user but not individual Government employees.
  • Stating that the agreement is governed by Federal law, deleting any conflicting state/local law provisions, and overriding dispute resolution forums or time periods not prescribed by Federal law.
  • Prohibiting unilateral revocation or termination of rights by the supplier without cause.
  • Amending arbitration clauses to require specific authorization and limiting awards against the Government.
  • Defining material changes to terms and requiring bilateral modification for such changes.
  • Stating that automatically renewing licenses/services require express consent.
  • Amending indemnification clauses to specify the U.S. Department of Justice's role in representation.
