Amendment / Modification

• Invoice Payment Due Date: Clarifies that payment is due the later of 10 days after the designated billing office receives a proper invoice or 10 days after Government acceptance of supplies/services.
• Order of Precedence: Establishes a clear hierarchy for resolving inconsistencies within the solicitation or contract, prioritizing the schedule of supplies/services and specific FAR clauses over commercial supplier agreements and other attachments.
• Unauthorized Obligations: States that any language in a commercial supplier agreement requiring the Government to pay future fees, penalties, interest, legal costs, or to indemnify the Contractor, which would violate the Anti-Deficiency Act, is unenforceable against the Government.
• Commercial Supplier Agreements: Incorporates specific language to be deemed part of any commercial supplier agreement, including:
  • Enforceability only against the ordering activity as the end user, not individual Government employees.
  • Governing law being Federal law, with state/foreign law provisions deleted.
  • Deletion of dispute resolution forums or time periods inconsistent with Federal law.
  • Prohibition of unilateral revocation or termination of Government rights by the supplier.
  • Clarification that the U.S. Department of Justice, not the end user, has the sole right to represent the U.S. in indemnification actions.
  • Amendments to audit clauses, specifying that audit costs requested by the contractor are at the contractor's expense and disputed charges follow the Contract Disputes Act process.
  • Clarification on taxes and surcharges, requiring Contracting Officer determination of applicability.
  • Non-assignment clauses requiring Government approval for assignment or delegation.
  • Confidentiality clauses are amended to clarify that neither the agreement nor unit pricing is deemed confidential information, and the Government may retain confidential information as required by law.

This addendum directly modifies and clarifies various paragraphs within FAR Clause 52.212-4, including sections (g)(2), (s), and (u), and introduces new paragraph (w) detailing modifications to commercial supplier agreements.

Bidders should carefully review these modifications as they alter the terms and conditions that will govern the contract, particularly regarding payment, order of precedence, and the enforceability of commercial supplier agreement clauses against the Government.

All vehicles must be new (under 500 miles) and delivered no later than May 15, 2026.

User Account Request Form:

This guide is essential for any supplier participating in GSA Fleet vehicle acquisition programs. This document, "Attachment E - Brand Name or Equal Worksheet," is a template provided for vendors to specify "or equal" offerings. It is used to detail proposed alternative products or manufacturers that meet the salient characteristics of the government's specified brand name items.

• Vendor Information: Fields to enter the vendor's name.
• Item Details: Columns for Purchase Description/Paragraph #, Manufacturer/Model/Description of the "or equal" offering, and Salient Features of the offering.
• GSA Action & Status: Columns for "Reply-GSA," "Action," "Status," and "Final" to track the government's review and decision on each proposed "or equal" item.

Vendors intending to propose an "or equal" product must use this worksheet to clearly define their proposed item, its features, and how it meets the government's requirements. This is crucial for the government's evaluation and acceptance of non-brand-name alternatives.

Solicitation / RFP / RFQ

This is a combined synopsis/solicitation (RFQ) for commercial items, prepared in accordance with FAR Subpart 12. The General Services Administration (GSA) requires the procurement of two (2) Toyota Highlanders to Guam, one (1) Toyota Highlander to Saipan, two (2) Toyota Tacomas to Guam, and one (1) Toyota Tacoma to Saipan. The North American Industry Classification System (NAICS) code is 336110, and the Product Service Code (PSC) is 2310. This requirement is a 100% small business set-aside. The government intends to award firm-fixed-price delivery order(s) for Motor Vehicle Delivery Orders (MVDOs) and reserves the right to make one or multiple awards.

• Procurement of specific Toyota vehicles (Highlanders and Tacomas) for Guam and Saipan.

• Vehicles must be available for immediate shipment/delivery.

• Vendors must demonstrate how their items and specifications meet the government's requirements.

• Manufacturer's vehicle window sticker must be provided for each quoted vehicle.

• The government intends to award firm-fixed-price delivery order(s).

• Pricing must be FOB Destination.

• Delivery dates are a significant evaluation factor.

• Quote Due Date: May 7, 2026, 8:30 AM EST.

• Respondent Questions Due: May 6, 2026, 8 AM ET.

• Quotes must be submitted via email to April Stanch (April.Stanch@gsa.gov) and Ed Hodges (John.Hodges@gsa.gov).

• Vendors must bid on the entire quantity of a line item; partial quantities will not be accepted.

• Evaluation factors include: Technical Compliance (specifications, delivery terms, availability, delivery dates), Past Performance, and Price. Technical compliance, availability, delivery dates, and past performance combined are equal to price.

• Past performance requires a minimum of 2 and not to exceed 3 recent (within last two years) and relevant government contract examples.

• Quotes must be submitted electronically in Microsoft Word or Adobe format.

• This is a 100% small business set-aside.

• Entities must have an active registration in SAM.gov to be considered.

• All required documentation must be completed and returned by the quote due date.

• Vendors are responsible for acknowledging all solicitation amendments.

• Attachments A (Price/Delivery Schedule) and B (Specification) are critical for submission.

• Dealers shall not affix any dealer identification items to the vehicles.
