Terms and Conditions

This document outlines the contract terms and conditions applicable to DHS acquisitions of commercial items. It supersedes all other terms and conditions and acceptance of an order signifies acceptance of these terms.

• Instructions to Offerors (52.212-1): Offerors must complete the "Requirement" document (Attachment 1) with unit prices. Offerors agree to hold prices firm for 60 calendar days.

• Evaluation (52.212-2): This provision is not applicable due to the sole-source nature of the acquisition. Award will be based on a determination of fair and reasonable pricing. Technical acceptability will be evaluated as "acceptable" or "unacceptable" based on the ability to provide new manufactured commercial items from the OEM or an approved source, with exact part numbers listed.

• Certifications and Representations: Includes provisions related to responsibility matters (52.209-5), delinquent tax liability or felony convictions (52.209-11), and service of protest (52.233-2).

• Security Prohibitions and Exclusions (52.240-90): Addresses prohibitions related to covered telecommunications equipment and services, business operations in Sudan, and Iran sanctions. Offerors must conduct a reasonable inquiry and disclose any non-compliance.

• Quality Assurance: Applicable to orders for products that will touch USCG aircraft. Requires immediate notification of any event, supply change, material change, malfunction, or defect. The contractor's quality control manual must address risk management, testing, inspection, and counterfeit/suspect parts processes. Changes impacting the product require USCG approval.

• Packaging, Marking, and Shipping Instructions: Details requirements for packaging material, individual part packing, labeling, marking, and shipping to the USCG Aviation Logistics Center.

• Inspection and Acceptance: Inspection and acceptance will be performed at destination. A Certificate of Conformance (COC) is required for all items, signed by an authorized official, and must include nomenclature, manufacturer's part number, and date of manufacture. Full and clear traceability of parts is mandatory.

• Deliveries/Performance: F.O.B. Destination is the requested delivery term.

• Invoicing: Invoices are to be submitted IAW FAR 52.212-4 to the designated billing office, with electronic submission encouraged.

• Sustainable Products and Services (52.223-23): Requires compliance with applicable statutory mandates and directives for purchasing sustainable products and services.

• Many FAR clauses are incorporated by reference, with specific deviations noted. Offerors should review these clauses carefully.

• The solicitation and resulting purchase order will require documented traceability to the OEM.

• A Certificate of Conformance, certifying compliance with this contract condition, will be required in accordance with FAR clause 52.246-15.
