Amendment / Modification

This document is an Addendum to Commercial Agreements, specifically for contracts with the U.S. Senate, Office of the Sergeant at Arms (SAA). It outlines terms that are considered unacceptable to the SAA due to conflicts with Federal law, US Senate Procurement Regulations, or SAA/Senate needs. These unacceptable terms will be null and void and superseded by the terms of this Addendum and Senate Purchase Order clauses.

• Unauthorized Obligations: Clauses requiring the SAA to pay future fees, penalties, interest, attorney fees, legal costs, or indemnify the contractor for damages, costs, or losses that could violate the Anti-Deficiency Act are unenforceable. Such clauses are deemed stricken.
• Third-Party Claims / Indemnification: Clauses giving the Contractor control over claims involving third-party claims (e.g., intellectual property infringement) are modified. The Contractor shall indemnify and hold harmless the SAA from such claims, with the SAA participating in the defense under the control of the U.S. Department of Justice.
• Automatic Renewals: The SAA does not agree to automatic renewal provisions for licenses or services. Renewal requires prior express written SAA approval.
• Audit: Contractor's right to audit the SAA or Senate's use of software licenses is restricted. The SAA may conduct a self-audit and provide results to the Contractor.
• Taxes and Fees: The SAA is not responsible for any taxes or additional fees beyond the agreed contract price, including late fees, termination fees, or maintenance fees.
• Incorporating Other Terms: Terms from other documents or websites do not bind the SAA unless submitted with the proposal. Unilaterally revised terms inconsistent with the contract are not enforceable.
• Venue; Choice of Law: The agreement is governed by Federal law and Regulations. State or foreign law provisions are deleted.
• Dispute Resolution: Mandatory arbitration is not agreed to. Disputes must be resolved per Senate Regulations. Binding arbitration is not utilized. Claims are determined under the Federal Tort Claims Act. Contractors must proceed diligently with performance during disputes.
• Equitable or Injunctive Remedies: Equitable relief for copyright, trademark, or patent infringement is only available to the extent permitted by Federal law.
• Unilateral Termination by Contractor: The Contractor cannot unilaterally terminate the contract. Recourse for alleged breach must be made under Senate Regulations.
• Unilateral Modification: The Contractor cannot unilaterally change license terms. Material changes require a bilateral modification.
• Advertisement: Contractors cannot reference SAA contracts in advertising in a way that implies SAA approval or endorsement.
• Confidentiality: Contractors must maintain strict confidence of contract information and not use it except for internal evaluation of the relationship with SAA.
• Data Protection After Contract Termination: Contractors must return or destroy SAA/Senate information within 30 days of termination and provide a certificate of destruction.
• Termination for Default: The SAA may terminate for default under specific circumstances, including failure to deliver or perform, or failure to make progress. The SAA is not liable for unaccepted services/supplies in case of termination for cause.
• Termination for Convenience: The SAA may terminate for convenience in its best interest, liable only for services rendered prior to termination.
• Gratuities: The SAA may terminate for default if gratuities are offered to secure favorable treatment.
• Availability of Funds: Payment is contingent upon the availability of appropriated funds.
• Assignment by Licensor: Assignment of SAA contracts requires SAA's prior approval, except for assignment of payment to a financial institution.

This Addendum modifies and supersedes specific clauses within any commercial license agreement (including End User License Agreements, Terms of Service, Maintenance Agreements) that may be entered into with the SAA.

To procure a commercial, subscription-based Finance Research and Advisory License for the U.S. Senate Office of the Sergeant at Arms (SAA). • Provide finance and IT-related research, benchmarking, and advisory services.

• Offer access to finance-related research reports, market analysis, and industry best practices.

• Provide access to IT budgeting, cost-efficiency benchmark data, and key financial performance metrics.

• Maintain a comprehensive research library on financial management, IT budgeting, project management, cloud licensing, and emerging technologies.

• Offer access to research and case studies from peer government agencies and public-sector entities.

• Provide policy research, templates, tools, and examples for internal financial and technology initiatives.

• Provide scheduled access to subject matter experts for inquiry sessions, consultations, and advisory support.

• Offer strategic guidance and trend analysis related to budgeting, cost optimization, financial planning, and cloud strategies.

• Support cloud license management activities, including vendor negotiation tools and contract benchmarking.

• Provide advisory support for reviewing existing contracts and comparing them to market standards.

• Assign knowledgeable subject matter experts (coaches) with experience in budgeting, financial planning, and project management.

• Provide financial planning and analysis insights tailored to agency goals.

• Offer access to live and recorded webinars, briefings, and events focused on finance, IT, and policy.

• Enable participation in peer forums and community discussions.

• Provide insights into project management and financial governance best practices.

• Continuous access to an online research and advisory platform.

One (1) base year.

• Services must be independent, unbiased, and vendor-neutral.

• Content must be relevant to public-sector, federal, and legislative-branch environments.

• Content must be current and regularly updated.

• Access must be through a secure, web-based platform.

• Services must comply with applicable Senate policies and procedures and federal best practices for financial management, IT, and data governance.

• Contractors must submit a Task Order technical proposal (max 10 pages) and a price proposal.

• Evaluation will consider technical capability and price to determine overall best value, with technical capability being more important than price.
