Amendment / Modification

This document is an Addendum to Commercial Agreements, specifically for the U.S. Senate, Office of the Sergeant at Arms (SAA). It outlines terms that are considered unacceptable to the SAA due to conflicts with Federal law, Senate Procurement Regulations, or SAA/Senate needs. These unacceptable terms will be null and void and superseded by the terms of this Addendum and Senate Purchase Order clauses.

Key modifications and clarifications include:

• Unauthorized Obligations: Clauses requiring the SAA to pay future fees, penalties, interest, attorney fees, legal costs, or to indemnify the contractor are unenforceable. Any such clauses are deemed stricken.
• Third-Party Claims / Indemnification: Clauses giving the Contractor control over third-party claims (e.g., patent, copyright infringement) are not allowable. The Contractor must indemnify the SAA against such claims, with the SAA participating in the defense under the control of the Department of Justice.
• Automatic Renewals: The SAA does not agree to automatic renewal provisions for licenses or services. Any renewal requires prior express written SAA approval.
• Audit: Clauses granting the Contractor the right to audit SAA's use of software licenses are not permitted. The SAA may conduct a self-audit if requested.
• Taxes and Fees: The SAA is not responsible for any taxes or additional charges beyond the agreed contract price, including late fees, termination fees, or maintenance fees.
• Incorporating Other License Terms: Terms from other documents or websites are not binding unless submitted with the proposal. Third-party terms cannot be incorporated by reference.
• Venue; Choice of Law: The agreement is governed by Federal law and Regulations. Any language subjecting the SAA to state or foreign law is deleted.
• Dispute Resolution: The SAA does not agree to mandatory arbitration. Disputes must be resolved according to Part 4 of the Regulations. Binding arbitration is not utilized. Performance must continue during pending disputes.
• Equitable or Injunctive Remedies: The SAA does not consent to equitable or injunctive relief, except as permitted by Federal law for copyright, trademark, or patent infringement.
• Unilateral Termination by Contractor: The Contractor cannot unilaterally terminate or suspend rights granted to the SAA. Recourse for alleged breach must follow the Regulations.
• Unilateral Modification: The Contractor cannot unilaterally change license terms. Material changes require a bilateral modification.
• Advertisement: Contractors cannot imply SAA approval or endorsement in advertising.
• Confidentiality: Contractors must protect contract information and not use it except for internal evaluation of the relationship with the SAA.
• Data Protection After Contract Termination: Contractors must return or destroy SAA/Senate information within 30 days of termination.
• Termination for Default/Convenience: Outlines SAA's rights for termination due to contractor default or for convenience, and contractor's rights regarding payment.
• Gratuities: Termination for default may occur if gratuities are offered to secure favorable treatment.
• Availability of Funds: Payment is contingent on the availability of appropriated funds.
• Assignment by Licensor: Assignment of SAA contracts requires prior SAA approval, except for assignment of payment to a financial institution.

This Addendum modifies and supersedes specific clauses within any commercial license agreement entered into with the SAA.

Statement of Work (SOW)

The United States Senate Office of the Sergeant at Arms (SAA) seeks to procure a comprehensive Information Technology (IT) Research and Support License to enhance enterprise IT strategy, architecture, security, emerging technologies, and organizational capabilities. The goal is to provide access to authoritative research, benchmarking data, analyst advisory services, and practical guidance to support informed strategic and tactical planning, technology modernization, risk mitigation, and operational effectiveness.

The SAA requires timely access to independent IT research and advisory services to effectively plan, deploy, and govern technology investments. The effort will provide access to subject matter experts and tools to address challenges in enterprise and cloud architecture, cybersecurity, AI, and customer experience. Key tasks include:

• Providing insights into industry trends and organizational capabilities for strategic planning.
• Offering best practices and implementation guidance for deploying new technologies.
• Conducting objective vendor assessments and detailed solution evaluations.
• Facilitating peer discussions and forums for knowledge exchange.
• Analyzing enterprise and cloud architecture, customer experience frameworks, and security best practices.
• Providing expertise on AI strategy and general IT topics.
• Assessing the current IT environment and recommending a path forward.

The period of performance for this effort is one-year.

• Continuous access to a secure, web-based research and advisory platform.

• Access to published research reports, benchmarking tools, templates, and analytical resources.

• Scheduled analyst inquiry sessions, expert consultations, and advisory engagements.

• Access to live and recorded webinars, briefings, events, and facilitated peer forums.

• Periodic updates to research content.

• The Contractor shall provide a commercial, subscription-based IT Research and Support License for multiple authorized SAA users (not to exceed 20 license holders).

• Services must be independent, unbiased, vendor-neutral, relevant to public-sector and legislative branch environments, current, and accessible via a secure web-based platform.

• The Contractor shall provide uninterrupted access and basic user support.

• All services must comply with SAA policies and procedures and federal best practices for financial management, IT, security, and data governance.

• A Task Order price proposal is required, consistent with the base FEDLINK contract pricing.

• A Task Order technical proposal (max 10 pages) is required, demonstrating capability to fulfill technical requirements.

• Evaluation will consider technical capability and price to determine overall best value, with technical capability being more important than price.
