• Added: VA Notice of Limitations on Subcontracting - Certificate of Compliance for Services and Construction (NOV 2022).

• Section D attachment D.5

All other solicitation terms and conditions remain unchanged. The effective date for receipt of offers is not extended.

This document is the "VA Notice of Limitations on Subcontracting - Certificate of Compliance for Services and Construction." It requires offerors to certify their understanding and compliance with subcontracting limitations as prescribed in 38 U.S.C. 8127(k)(2) and FAR 52.219-9.

• Services Contracts: Offerors must certify that they will not pay more than 50% of the contract amount to firms that are not VIP-listed SDVOSBs or VOSBs. Work subcontracted by a similarly situated VIP-listed subcontractor counts towards this limit. Other direct costs may be excluded if they are not the principal purpose of the acquisition and small businesses do not provide the service.
• General Construction Contracts: Offerors must certify that they will not pay more than 85% of the contract amount to firms that are not VIP-listed SDVOSBs or VOSBs. Work subcontracted by a similarly situated VIP-listed subcontractor counts towards this limit. Costs of materials are excluded.
• Special Trade Construction Contractors: Offerors must certify that they will not pay more than 75% of the contract amount to firms that are not VIP-listed SDVOSBs or VOSBs. Work subcontracted by a similarly situated subcontractor counts towards this limit. Costs of materials are excluded.
• Acknowledgement: Offerors acknowledge that this certification is subject to Title 18, United States Code, Section 1001, and that false certifications may lead to criminal, civil, or administrative penalties.
• Consequences of Non-Compliance: Failure to act in good faith may result in referral to the VA Suspension and Debarment Committee, fines, or prosecution.
• Verification: The offeror agrees to provide documents or records to the VA to demonstrate compliance. Failure to do so may result in remedial action.
• Certification Section: A fill-in section for the company name, address, and authorized signatory's printed name, title, signature, and date.

This is a mandatory certification for offerors. Failure to complete, sign, and return this form with the bid, quotation, or proposal will result in the offer being deemed ineligible for evaluation and award. Bidders must carefully review the subcontracting limitations applicable to their specific contract type (services, general construction, or special trade construction) and ensure their proposed approach complies.
