This document is a Use and Non-Disclosure Agreement (NDA) for Government Technical Data. It outlines the terms and conditions under which an Offeror will be granted access to technical data, computer software, or both related to USNS ALAN SHEPERD (TAKE 3). The Offeror must agree to specific terms to protect the confidentiality and control the dissemination of this data.

• Offeror's Agreement: The Offeror agrees to use the Data solely for proposal preparation in response to solicitation N3220518R4002 and for performance if awarded the contract.
• Restrictions: Compliance with dissemination restrictions, export controls, and regulations is required.
• Data Control: The Offeror must establish organizational controls to limit access to authorized representatives and prevent unauthorized disclosure.
• Prohibitions: Copying, releasing, reproducing, distributing, or making the Data available in any form to unauthorized individuals is prohibited.
• Subcontractor Flow-down: If subcontractors are involved, their names, addresses, and corporate principal contact information must be provided. Subcontractors must also execute a similar flow-down NDA.
• Return or Destruction: The Data and all copies must be returned or destroyed upon notice of award to another entity or upon completion of the work, with written certification of destruction if applicable.
• Liability: The Offeror is responsible for unauthorized disclosures and must reimburse the Government for costs or damages incurred.

Bidders must review and understand this NDA to ensure they can comply with its terms if they intend to access the technical data provided for solicitation N3220518R4002. Failure to comply with this NDA may prevent access to critical technical information necessary for proposal preparation and contract performance. Bidders must also be prepared to manage flow-down NDAs for any subcontractors they intend to use.
