• Data Control: Establishment of organizational controls to limit access and prevent unauthorized disclosure.
• Prohibitions: No copying, releasing, reproducing, distributing, or making the data available to unauthorized individuals or entities.
• Subcontractor Flow-down: Requirement to identify subcontractors and ensure they execute a similar NDA.
• Return or Destruction: Data must be returned or destroyed upon contract award to another entity or completion of work, with written certification.
• Liability: Offeror is responsible for costs and damages resulting from unauthorized disclosure.

Bidders must understand and agree to the terms of this NDA to access the specified technical data. This agreement is crucial for proposal preparation and subsequent contract performance. Failure to comply with the NDA terms can result in significant liability. Bidders must also ensure any subcontractors execute a similar agreement. The form requires specific Offeror information, including legal name, Cage Code, email, address, and authorized representative details, along with subcontractor information if applicable.

• The Offeror agrees to use the Data solely for proposal preparation in response to solicitation N3220526R6039 and for performance of the resulting contract.
• Restrictions on dissemination, compliance with export controls, and establishment of organizational controls to limit access are required.
• The Offeror must not copy, release, reproduce, or distribute the Data to unauthorized individuals.
• Identification of vendors/subcontractors and their corporate principals who will sign flow-down NDAs is required.
• All disclosures to third parties or subcontractors must be subject to a similar NDA.
• The Data must be returned or destroyed upon notice of award to another entity or completion of work, with written certification.
• The Offeror must cooperate in recovering or destroying improperly released Data and reimburse the Government for costs associated with unauthorized disclosures.

This NDA is a mandatory requirement for any Offeror intending to access sensitive technical data for solicitation N3220526R6039. Bidders must review and agree to these terms, execute the agreement, and ensure any subcontractors also comply with the NDA requirements. Failure to comply may result in penalties and reimbursement of costs to the Government.

Sources Sought Notice

This is a Sources Sought Notice, not a solicitation. Military Sealift Command, Norfolk, is seeking information on interested firms capable of performing a Regular Overhaul and Drydocking for the USNS GRASP (T-ARS 51). The work is anticipated to commence on or about January 11, 2027, and conclude by March 26, 2027, to be performed at the contractor's facility.

Interested firms should submit a capabilities package demonstrating their ability and experience in performing similar work. The package must include:

1. Company Profile: Number of employees, office location(s), UEI number, CAGE Code, and small business designation status.
2. Facility Description: Location and description of the facility where the work will be performed.
3. Business Size: Indicate if the company is large or small business and its socioeconomic category (HUBZone, SDVOSB, WOSB, etc.) under NAICS Code 336611 (Ship Building and Repair, size standard 1,300 employees).
4. Agreements: Information on any partnership, teaming, joint venture, or mentor-protégé agreements.
