This worksheet is crucial for any bidder intending to propose an "or equal" product or service instead of the specific brand name item mentioned in the solicitation. Bidders must accurately complete this form, providing detailed descriptions and salient features of their proposed alternatives to demonstrate compliance with the government's needs. Amendment / Modification

This document is an addendum to FAR Clause 52.212-4, "Contract Terms and Conditions—Commercial Products and Commercial Services (FAR DEVIATION)." It modifies several paragraphs of the original clause:

• (g)(2) Invoice Payment Due Date: Clarifies that the payment due date is the later of 10 days after the designated billing office receives a proper invoice or 10 days after Government acceptance of supplies/services. It also specifies how to handle invoice annotation if the designated billing office fails to annotate the receipt date.
• (s) Order of Precedence: Establishes a specific order for resolving inconsistencies within the solicitation or contract, prioritizing the schedule of supplies/services and then addenda to the solicitation/contract.
• (u) Unauthorized Obligations: States that any language in a commercial supplier agreement requiring the Government to pay future fees, penalties, interest, legal costs, or to indemnify the Contractor, which would create an Anti-Deficiency Act violation, is unenforceable against the Government. It also clarifies that such clauses are deemed stricken from the commercial supplier agreement and do not bind the Government or end users, even if accepted via "click-wrap" or "browse-wrap" mechanisms.
• (w) Commercial Supplier Agreements Unenforceable Clauses: This section details how commercial supplier agreements are treated when acquired under this contract. It specifies that the agreement is part of a contract between the supplier and the U.S. Government, binds the ordering activity as the end user, and is governed by Federal law. It explicitly deletes any language that subjects the Government to state/foreign laws or requires dispute resolution in a forum different from Federal law. It also states that the supplier cannot unilaterally revoke rights granted to the Government and must pursue disputes under the Contract Disputes Act. It further amends clauses related to arbitration, updating terms, automatic renewals, indemnification, and audits to align with Government requirements.

This addendum primarily clarifies terms and conditions related to payment, order of precedence, and the enforceability of commercial supplier agreement clauses against the Government.
