This document is an addendum to FAR 52.212-4, "Contract Terms and Conditions—Commercial Products and Commercial Services," and includes a deviation.

Key changes and clarifications include:

• Invoice Payment Due Date: Clarifies that payment is due 10 days after the designated billing office receives a proper invoice or 10 days after Government acceptance of supplies/services, whichever is later. If the billing office fails to annotate the invoice receipt date, the due date is 10 days after the contractor's invoice date, provided the invoice is proper and no disagreements exist.
• Order of Precedence: Establishes a specific order for resolving inconsistencies in the solicitation or contract, prioritizing the schedule of supplies/services, specific FAR clause paragraphs, addenda, solicitation provisions, and other documents.
• Unauthorized Obligations: States that any language in a commercial supplier agreement requiring the Government to pay future fees, penalties, interest, legal costs, or to indemnify the Contractor, which would create an Anti-Deficiency Act violation, is unenforceable against the Government. Such clauses are deemed stricken.
• Commercial Supplier Agreements: Specifies that for agreements subject to commercial supplier agreements, the Government is bound only as an "end user" and not as an individual employee. The agreement is governed by Federal law, and any language attempting to subject the Government to state/local laws or specific dispute forums is deleted. The supplier cannot unilaterally revoke rights granted to the Government, and disputes must be handled under the Contract Disputes Act.
• Updating Terms: Defines material changes to commercial supplier agreements (e.g., changes to Government rights/obligations, prices, service levels) that require bilateral modification. Unilaterally revised terms inconsistent with the contract are unenforceable.
• No Automatic Renewals: States that licenses or services requiring periodic payment will not automatically renew without prior express consent.
• Indemnification: Amends clauses requiring the supplier to defend or indemnify the end user, stating the U.S. Department of Justice has the sole right to represent the U.S. in such actions.
• Audits: Clarifies that discrepancies found in audits may result in charges, but any disputes will be resolved under the Contract Disputes Act. Contractor-requested audits are at the contractor's expense.
• Taxes or Surcharges: Governed by the underlying contract, requiring Contracting Officer determination of applicability before invoicing.
• Non-assignment: Prohibits assignment or delegation without Government approval.
• Confidential Information: States that the agreement or price list is not considered "confidential information." Unit pricing issues will be resolved under the Freedom of Information Act. The Government may retain confidential information for legal/regulatory purposes, subject to confidentiality obligations.

This addendum modifies FAR 52.212-4 and incorporates specific terms and conditions applicable to commercial products and services, including deviations.

• Item #: Sequential numbering for each item.
• Description: Specifies the vehicle type (Ford Explorers, Nissan Pathfinders, Jeep Grand Cherokees). Bidders are directed to "Attachment B" for detailed specifications.
• Quantity Required: The number of units the government needs for each vehicle type.

Solicitation / RFP / RFQ

This is a combined synopsis/solicitation for commercial items, specifically a Request for Quotation (RFQ), for the procurement of motor vehicles. The General Services Administration (GSA) is procuring Ford Explorers (QTY: 15), Nissan Pathfinders (QTY: 20), and Jeep Grand Cherokees (QTY: 15) on behalf of the Department of Justice – Alcohol, Tobacco, Firearms, and Explosives (ATF).

• Procurement of specific vehicle models and quantities.

• Vehicles must be delivered FOB Destination.

• Bidders must bid on the entire quantity of any selected line item; partial quantities will not be accepted.

• Technical compliance with specifications, including delivery terms and dates, is a significant evaluation factor.

• Past performance is also a key evaluation factor.

• The government intends to award firm-fixed-price delivery order(s).

• Award may be made to one or multiple vendors.

• Pricing must be inclusive of all necessary items and services to furnish the quoted items to the Government FOB Destination.

• Quote Due Date: February 12, 2026, 2 PM EST.

• Respondent Questions Due: February 10, 2026, 11 PM EST.

• Quotes must be submitted electronically in Microsoft Word or Adobe format.

• Evaluation will be based on Technical Compliance (including specifications, delivery terms, and dates), Past Performance, and Price. Technical Compliance and Past Performance are considered more important than price.

• Bidders must acknowledge all solicitation amendments.

• This requirement is a 100% small business set-aside.

• Entities must have an active registration in SAM.gov and GSAFleet.gov to be considered.

• Attachments A (Price/Delivery Schedule) and B (Specifications) are critical for quote preparation.

• Bidders must complete and return the SF 18 form, along with other required documentation.

• Manufacturer's vehicle window sticker must be provided for each vehicle quoted.

• Solicitation/Revision: Fields for solicitation and revision numbers.
• Item: Sequential numbering for each proposed item.
• Purchase Description Paragraph #: Reference to the specific government requirement being addressed.
