Amendment / Modification

• Venue; Choice of Law: The Government does not agree to specific venue, jurisdiction, or choice of law clauses. Disputes are governed by applicable federal statutes and regulations.
• Arbitration: Mandatory arbitration is not agreed to. Disputes must be resolved per federal statutes and regulations.
• Equitable Remedies, Injunctions: The Government does not consent to equitable relief or injunctions for contractors, except as permitted by federal statutes.
• Unilateral Termination by Contractor for Breach: The contractor cannot unilaterally terminate the contract. Recourse is through the contract disputes clause.
• Unilateral Modification: The contractor cannot unilaterally change license terms.
• Assignment by Licensor: The Government does not agree to license terms providing for assignment by the licensor, except as permitted by statute.
• Confidentiality: Unit prices or license agreement terms are not considered confidential or proprietary. The Freedom of Information Act governs disclosure.
• User Obligations: The Government does not agree to provisions obligating its users. References to "You" or "User" apply to the Government itself.
• Entire Agreement: This Addendum modifies the License Agreement, and its terms prevail in case of conflict.

This Addendum modifies and supersedes specific clauses within any License Agreement or Terms of Use submitted by the offeror.

Offerors must acknowledge and agree to all terms of this Addendum. It will become a binding part of the contract if the proposal is accepted and selected for award. Failure to comply with these terms may render conflicting clauses in the offeror's License Agreement null and void.

Statement of Work (SOW) / Performance Work Statement (PWS)

To provide a vendor-hosted K-12 Visual Arts Resource Platform and a Visual Arts Professional Learning Platform that supports visual arts instruction and enhances student learning and achievement systemwide.

• K-12 Visual Arts Resource Platform: A ready-to-deploy web-based platform with content aligned to DoWEA's College and Career Ready Standards (CCRS). It must include standards-aligned resources for grades K-8 and 9-12 (proficient, accomplished, advanced), lesson plans, worksheets, artist biographies, related videos, and assessments. The platform needs a user-friendly interface with a minimum of 150 lesson plans and 200 other resources per grade band (K-2, 3-5, 6-8, 9-12). It must allow printing of materials for classroom use and include a broad range of media, methods, artists, and art styles. Resources must be updated at least quarterly. Digital rights for internal DoWEA use are required.

• Visual Arts Professional Learning Platform: A mature, fully developed platform providing differentiated, on-demand visual arts and visual arts pedagogy education. It must include a comprehensive bank of asynchronous courses, webinars, and/or digital modules. Resources should be arranged by topic/grade, include teaching strategies, examples, and classroom materials in written and video formats. Users should be able to download/print resources and share video formats. The platform must feature a variety of presenters, educators, and artists. The collection must be updated at least quarterly, and internal use without copyright infringement is required.

• Platform-Enabled Professional Learning: One to six 30-60 minute asynchronous learning modules or videos per year (up to 30 total) demonstrating instructional use of the platform. These will be posted on DoWEA's LMS (Schoology) and must be SCORM® compliant if digital.

• Product Orientation and Platform Use Training: Asynchronous webinars, videos, or digital modules covering platform navigation, content access, and material organization. These will also be posted on DoWEA's LMS and must be SCORM® compliant if digital.

• Technical Support: Industry-standard support via telephone or email within one business day of contact.

• Platforms must be accessible 24/7/365, with no more than one unscheduled downtime per semester.

• Professional learning ratings from at least 70% of visual arts educators must be "good" or "excellent."

• Technical support requests must be acknowledged within two hours and 90% resolved within one business day.

• All tasks must be 100% PWS-compliant.

• Work shall be performed at the Contractor's facilities.

• Availability of resources for the life of the contract.

• Security: Compliance with Federal law and DoW cybersecurity requirements, including DOW Directive 8500.01E, DOW Security Technical Implementation Guidance (STIG), and DOW Risk Management Framework (DOWRMF). FedRAMP Level 2 standards are required for proposed software/digital resources. Data must be secured in a US-based data center, with data transit secured by TLS encryption and data at rest by AES-256 encryption. Notification of any security breach within 72 hours is required.

• Privacy: User accounts must use unique usernames and passwords not requiring PII. Contractor personnel must be US citizens and complete DOW Privacy Act/PII training. Data must be handled in accordance with the Privacy Act, 5 U.S.C.

• Accessibility: Compliance with Section 508 of the Rehabilitation Act, ensuring accessibility for people with disabilities.

• Integration: Solutions must support industry-standard data integration methods (e.g., RESTful API, LTI, SFTP) and integrate with DoWEA's LMS (Schoology) and potentially ClassLink or OneRoster.

• System Requirements: Minimum specifications include 4 GB Memory, 100 GB Hard Drive, Intel® Core™ i5-8365U processor or better, Integrated Intel HD Graphics 620, and Windows 11 operating system.

• Third-Party Programs: Must meet minimum technical requirements, including FedRAMP Level 2.

• Data Rights: All data developed is the property of the Government. Digital rights for visual materials must be provided to DoWEA for internal use without copyright costs.
